Reporting to the Managing Director, the Senior Manager will be responsible for leading the corporate secretarial team providing corporate secretarial services, administration, board support and other corporate related functions to a portfolio of investment funds in the alternative investments sector.
Job Duties in Brief
Provide board support to clients, including but not limited to:
Creation of meeting agendas
Collation & distribution of board packs
Acting as Company Secretary, taking and producing detailed boardminutes of meetings
Overall management of day-to-day activities of the corporate secretarial team.
Develop, implement, monitor performance on objectives for the corporate secretarial team
Preparation of Company Resolutions, preparing and making filings with the Registrar of Companies and CIMA on a timely basis;
Work closely with offices and clients worldwide to ensure timely delivery of a high quality service;
Ensuring the timely filing of all statutory returns as well as payment of annual fees to the Registrar of Companies and CIMA
Act as the local business liaison for ongoing system development and deployment of ViewPoint
Generate ideas for internal process improvement and increasing efficiency
Contribute to marketing and business development initiatives and represent the business at key industry events; and
Perform any other duties as requested by the Managing Director to ensure the smooth operations of the team.
Undergraduate degree in finance, business or law;
Minimum of five years experience as a company secretary to a portfolio of investment funds and other similar structures;
Professionally qualified as a chartered secretary (ICSA or equivalent) preferred;
Proven track record of managing a corporate secretarial team;
An in depth knowledge of Cayman Islands Company Law and CIMA regulations relating to investment funds preferred
Strong corporate governance knowledge and experience;
Prior relationship management experience and exposure to governance matters in the industry
Advanced knowledge of Microsoft Office is essential;
Candidates who have ViewPoint experience will be preferred;
Excellent written and verbal communication skills, strong interpersonal and organizational skills and leadership abilities required.
